Shuffle Recruitment Limited

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of recruitment and related services (“Services”) by Shuffle Recruitment Limited (“the Company”, “we”, “us”, “our”) to clients (“Client”, “you”, “your”) and candidates (“Candidate”). By engaging with our Services, you agree to be bound by these Terms.

2. Definitions
  • Client: Any organisation or individual engaging Shuffle Recruitment Limited to source, introduce, or supply Candidates.
  • Candidate: Any person introduced by Shuffle Recruitment Limited to the Client for employment or engagement.
  • Introduction: The provision of a Candidate’s details to a Client, whether written, verbal, or via digital means.
  • Engagement: Employment, contract work, temporary assignment, consultancy, or any other form of work undertaken by a Candidate for a Client.
3. Services Provided

Shuffle Recruitment Limited provides:

  • Permanent recruitment services
  • Temporary and contract staffing
  • Candidate sourcing and screening
  • Talent consultancy and workforce planning

We reserve the right to modify or discontinue any Services at our discretion.

4. Client Obligations

Clients agree to:

  • Provide accurate job descriptions, requirements, and relevant information.
  • Notify us immediately upon engaging a Candidate introduced by us.
  • Pay all applicable fees in accordance with our agreed fee structure.
  • Comply with all relevant employment laws and regulations.
5. Candidate Obligations

Candidates agree to:

  • Provide accurate and truthful information regarding their experience, qualifications, and right to work.
  • Notify us of any changes to their circumstances that may affect their suitability for a role.
  • Act professionally throughout the recruitment process.
6. Fees and Payment Terms
  • Fees for permanent placements are calculated as a percentage of the Candidate’s agreed annual remuneration unless otherwise stated in a separate agreement.
  • Temporary or contract staffing fees are charged at an agreed hourly or daily rate.
  • Invoices are payable within 14 days of the invoice date unless otherwise agreed.
  • Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
7. Introductions and Ownership
  • An Introduction is deemed valid for 12 months from the date it is made.
  • If a Candidate introduced by Shuffle Recruitment Limited is engaged by the Client (or an associated company) within this period, full fees apply.
  • If a Client passes Candidate information to a third party resulting in an Engagement, the Client is liable for the full fee.
8. Replacement Guarantee

Where applicable, we may offer a replacement guarantee for permanent placements, subject to:

  • Full payment of the original invoice on time.
  • The Candidate leaving within the agreed guarantee period (typically 8–12 weeks).
  • The role, salary, and conditions remaining unchanged.

Only one replacement will be provided, and no refunds are offered unless explicitly agreed.

9. Liability

Shuffle Recruitment Limited:

  • Does not guarantee a Candidate’s suitability, performance, or continued employment.
  • Is not liable for any loss, damage, or expense arising from a Candidate’s actions or engagement.
  • Limits liability to the total fees paid by the Client in the 12 months preceding any claim.

Nothing in these Terms limits liability for fraud or any matter that cannot legally be excluded.

10. Data Protection

We process personal data in accordance with the UK GDPR and Data Protection Act 2018. Clients and Candidates consent to the processing of their data for recruitment purposes. Full details are available in our Privacy Policy.

11. Confidentiality

Both parties agree to keep all shared information confidential and use it solely for the purpose of recruitment and engagement.

12. Termination

Either party may terminate the relationship with written notice. Outstanding fees for Introductions or ongoing assignments remain payable.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

Shuffle Recruit Limited reserves the right to amend these Terms at any time. Updated Terms will be published or provided to Clients as appropriate.
